1. Subject and scope
These Terms govern the use of and membership in the Glodely platform operated by Gloyd Teknoloji Anonim Şirketi (“Gloyd”). Only products and services open for ordering on the website may be ordered. Products currently available are printed circuit boards (PCBs) and SMD solder paste stencils. Provisions concerning assembled printed circuit boards (PCBAs), electronic components, cables, cable harnesses and front panels apply when the relevant product or service becomes open for ordering on the website. PCBA and electronic component services are currently marked “Coming soon”; this does not mean orders are being accepted.
Gloyd sells and invoices products in its own name. Production or sourcing by third parties does not alter Gloyd's obligations to the customer.
2. Applicable sales terms
The Pre-contractual Information Form and Distance Sales Agreement apply to purchases made for purposes outside a trade or profession. Until the Commercial Sales Terms are published, purchases for business or professional purposes are governed by the order summary, the Pre-contractual Information Form and these Terms. The nature of a transaction is determined by the purpose of the purchase. The account or invoice type alone does not remove consumer rights.
The order summary specifies the product, quantity, technical specifications, price, payment and delivery details. Expressly agreed terms specific to an order take precedence over the general sales terms, subject to mandatory law.
3. Membership, organisation accounts and security
Users must provide accurate and current information, protect their account credentials and promptly notify Gloyd of any suspected unauthorised use. A user acting for another person or an organisation must have the necessary authority.
An organisation workspace may have multiple members. Within their authority, workspace owners and administrators invite members, determine their access and transaction permissions and revoke those permissions where necessary. Orders placed through a workspace belong to that workspace; the contracting buyer is the person or organisation identified as the Buyer in the order. A member's departure or loss of access does not automatically terminate the organisation's existing orders, payment obligations or authorised members' access to those records.
Users may sign in with a verification code sent to their email address, a password or, at their option, a Google or LinkedIn account. Two-step verification can be enabled optionally. A security notification is sent when a user signs in from a new device. Users must also protect their email and social sign-in accounts.
Disrupting platform security, gaining unauthorised access, uploading malicious files and using content that infringes third-party rights are prohibited. Gloyd may impose necessary and proportionate access restrictions in such cases. Unless an urgent security need or legal restriction prevents it, the user is informed of the reason. A reasonable time is given to remedy the matter; after an urgent restriction, the user is informed once the obstacle has ended. A restriction may be challenged through the support channel. A restriction does not end existing order, refund or receivable rights and is not used to suspend payment or refund obligations or to close the complaint channel.
4. Order process
The customer uploads their file and creates an order record for preliminary review. Uploading a file and creating this record do not themselves create a sales contract or payment obligation. If questions or a need for clarification arise during the pre-production review, the customer's response is awaited. The final price and order summary are presented once the review is complete.
Within the payment period shown in the order summary (at most 48 hours) after notification of the final price and order summary, the customer must complete payment or, if separately approved by Gloyd for deferred business payment, place the order on the agreed payment terms and within the approved credit limit. If payment is not completed and the order is not placed on approved deferred payment terms within that period, the order is automatically cancelled without a cancellation charge.
The contract is formed when the customer confirms the final order summary and sales terms through a confirmation that clearly states the payment obligation, and Gloyd receives that confirmation. The customer may correct order and contact information before confirming. Production starts after payment is verified or approved deferred payment conditions are met.
Receipt of the order is acknowledged electronically without delay. Consumer prices are displayed in Turkish lira, including VAT, customs charges and import costs. Delivery charges and the total payable are disclosed before the confirmation that entails a payment obligation; the consumer's Turkish lira price becomes final at payment. Any displayed foreign currency equivalents are for information only.
Saving a card is optional. A saved card is kept by the bank; Gloyd does not store the full card number or the security code, only the bank's token reference and the masked card number.
Exchange-rate movements, ordinary supply difficulties or stock shortages do not by themselves constitute force majeure.
5. Technical files and intellectual property
Users must be authorised to use and permit the use of uploaded Gerber files, drawings, bills of materials (BOMs), component placement lists (CPLs), software and other content for the requested transaction. Ownership and intellectual property rights remain with the rights holder. Gloyd receives only the permission necessary for pricing, technical review, production, inspection and fulfilment of the order.
Files may be shared with domestic or overseas production and sourcing partners as necessary to carry out the work, including pre-order review. Users should not include unnecessary personal data in files. The KVKK Privacy Notice explains how personal data are processed.
Gloyd keeps non-public technical and commercial information confidential and does not use files for advertising, portfolios or other customers' production without separate permission. Statutory disclosure obligations remain unaffected.
6. Technical review and changes
Production is based on the file version and technical specifications approved by the customer. Unless separately undertaken, manufacturability review does not include functional validation of the circuit design or certification of the final device. Gloyd is responsible for carrying out its agreed production, assembly, testing and sourcing obligations in accordance with the contract.
Changes to production files, components or other technical specifications are submitted for customer approval. Silence does not constitute approval. Acceptance of a specific technical warning does not waive statutory rights concerning other or latent defects.
The free Gerber viewer processes files on the user's device; files are not sent to a server solely for viewing. If the user continues to obtain a price or configure an order using the file, the configurator uploads it to the server. The viewer preview does not validate electrical connections, manufacturability or impedance.
7. Notifications and personal data
Account, security, order, payment and delivery notifications are sent to registered contact addresses. Users must keep their contact details current. Personal data are processed as described in the KVKK Privacy Notice, Privacy Policy and Cookie Policy. Acceptance of these Terms is not marketing permission or explicit consent to personal data processing. The sending of an email does not in every case mean that it has been legally served; notices for which the law prescribes a special form are given in that form.
8. Account closure and changes
Users can close their account in the account settings or by writing to destek@glodely.com. Account closure does not terminate existing orders, accrued debts, refund obligations or statutory rights.
Material changes to membership terms are notified to users and their acceptance is obtained where required. Updates do not retrospectively amend earlier sales contracts.
9. Enquiries and applicable law
Enquiries may be sent to destek@glodely.com. Turkish law applies. Sales disputes are subject to the remedies in the relevant sales contract and statutory rules on jurisdiction and venue. Consumers' statutory remedies remain unaffected. Gloyd's records are not treated as sole, conclusive or irrebuttable evidence; this does not change the statutory burden of proof.
